# MuscleBoxPro Gym Partnership: Standard Terms

MuscleBoxPro installs a protein shake vending machine in your gym and operates it. The machine stays our property and our expense. You provide the floor space and a power point, and you take a share of the profit it makes.

## At a glance

₹0 for the machine, refundable ₹50,000 security deposit, 20% of net protein profit rising to 50% at the performance milestone (15,000 paid cups or ₹5,00,000 cumulative net profit, whichever comes first), 20% of advertising revenue, electricity reimbursed at ₹1,000 per completed 1,000 paid cups, payouts within 15 days of month-end, 24-month initial term with a 30-day exit on notice and no early-termination charge. Placement is invite-only.

## What MuscleBoxPro provides at no cost to the gym

- Machine, delivery and installation
- Restocking and ingredients
- Cleaning and sanitisation
- Servicing, repairs and spare parts
- Water and consumables
- Payment processing

## What the gym provides

- Floor space of roughly 90 × 90 cm (3 ft × 3 ft)
- A standard power point
- Reasonable access for restocking and servicing

## How the money works

Your share is calculated on net profit, not on gross sales. Net profit is gross customer sales less taxes collected for the Government and less the agreed direct variable costs, which are the ingredients, the cup and the consumables. Those costs are ours to carry and they come off before the split.

### Profit share on shakes

- 20% of net profit before the performance milestone.
- 50% of net profit after it.

The milestone is whichever comes first of 15,000 paid cups or ₹5,00,000 of cumulative net profit. Net profit there is the pool before the split, not either party's share of it. Which of the two tests fires first depends on the margin the machine earns per cup. At the indicative economics below the profit test arrives at about 9,100 cups; on a thinner margin the cup count arrives first.

### Advertising

20% of the advertising revenue earned by the machine in your gym. This share is flat for the life of the agreement. It does not step up at the performance milestone.

### Electricity

Reimbursed at ₹1,000 for every completed block of 1,000 paid cups, assessed over a 3-month review window, with a floor of ₹1,000 per window even if the machine sells very little. Part-completed blocks do not carry into the next window.

### When you are paid

Within 15 days of the end of each month, against a statement showing cups sold, gross revenue, direct costs and your share. The partner dashboard shows live figures during the month, but those are provisional. The statement is the settled amount.

### Worked month

Indicative, as of Q1 2026. At 600 cups a month, ₹120 average selling price and ₹65 of direct cost per cup:

- Gross revenue: ₹72,000
- Direct costs: ₹39,000
- Net profit: ₹33,000
- Your share at 20%: ₹6,600
- Your share at 50%: ₹16,500

The electricity reimbursement is left out of that month because it is assessed per 3-month window, so folding it into a monthly figure would overstate it. These are typical volumes, not a guarantee of income.

## Term and exit

- Initial term of 24 months, running from the later of signing and installation.
- The gym may end it for convenience on 30 days' written notice.
- MuscleBoxPro may remove a persistently underperforming machine on 15 days' notice.
- No early-termination charge. The exit price is the notice, not a payment.
- Either way the machine is collected at our cost and the deposit is returned, less any amounts properly due.

## Getting started

Placement is invite-only. A machine that does not sell helps neither side, so we look at daily footfall, member mix, the space available and the city first. After a demo, a gym that is a fit receives one link that walks through every step, and it can be stopped partway and picked up later. Before signing, the gym is shown its own copy of the agreement clause by clause.

## Frequently asked

### What does the machine cost the gym?

Nothing. MuscleBoxPro buys, delivers, installs, stocks, cleans and services the machine at its own cost. The only money that leaves your account is a refundable security deposit of ₹50,000, which is returned at the end of the partnership less any amounts properly due.

### Why is there a security deposit if the machine is free?

The machine stays MuscleBoxPro's property and sits unattended on your floor. The deposit covers loss or avoidable damage while it is in your custody. It is refundable, it is not a fee, and it is not deducted from your monthly payouts.

### How is my share actually calculated?

On net profit, not gross sales. Gross shake revenue less the direct cost of the ingredients, cup and consumables gives net profit. Your share of that starts at 20% and rises to 50% once the machine passes its performance milestone: whichever comes first of 15,000 paid cups or ₹5,00,000 of cumulative net profit. On typical margins the profit figure is reached first; on thinner ones the cup count is.

### When do I get paid?

Within 15 days of the end of each month, against a statement showing cups sold, gross revenue, direct costs and your share. Your partner dashboard shows live figures during the month, but those are provisional; the statement is the settled amount.

### Who pays for the electricity the machine uses?

You are reimbursed for it. MuscleBoxPro pays ₹1,000 for every completed block of 1,000 paid cups, assessed over a 3-month review window, with a minimum of ₹1,000 per window even if the machine sells very little. Part-completed blocks do not carry into the next window.

### Do I earn anything from the advertising screen?

Yes. 20% of the advertising revenue the machine in your gym generates. Unlike the shake share, this percentage stays flat for the life of the agreement; it does not step up at the performance milestone.

### How much space and power does it need?

About 3 ft by 3 ft of floor space near where members finish their workout, and a standard power point. No plumbing and no drainage are required.

### What am I responsible for?

Keeping the space available and the power on, giving our team reasonable access to restock and service the machine, not moving or opening it, and not placing a competing protein shake vending machine in the same premises during the term. You are never responsible for stock, hygiene of the machine internals, repairs, or handling customer payments.

### How long is the commitment, and can I get out of it?

The initial term is 24 months, and you can end it for convenience on 30 days' written notice. MuscleBoxPro may also remove a persistently underperforming machine on 15 days' notice. Either way the machine is collected at our cost and your deposit is returned.

### Is my gym eligible?

Placement is invite-only, because a machine that does not sell helps neither of us. We look at daily footfall, member mix, the space available and the city. Request a demo and we will tell you honestly whether your gym is a fit.
